By accessing or using Contexx Learning (the "Service"), you agree to these Terms and Conditions. Please read them carefully as they contain important information about your rights and obligations.

2. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and any applicable policies referenced herein.

4. Organizations and Administrators

Contexx Learning allows organizations to create workspaces, manage departments, invite users, assign learning content, and monitor learning activity.

Organization administrators are responsible for managing users within their organization and ensuring that users are authorized to access the organization's workspace and learning content.

Administrators may have access to information relating to learner activity, including course assignments, completion status, assessment results, and other learning analytics made available through the Service.

5. Use of the Service

You agree to use Contexx Learning only for lawful purposes and in accordance with these Terms.

You must not:

• Violate applicable laws or regulations.
• Attempt to gain unauthorized access to the Service or another user's account.
• Interfere with or disrupt the operation of the Service.
• Upload malicious software, harmful code, or other destructive content.
• Impersonate another person or organization.
• Use the Service to distribute unlawful, abusive, fraudulent, or misleading content.
• Attempt to reverse engineer or circumvent security mechanisms of the Service.

6. Learning Content

Organizations and authorized users may upload documents, training materials, procedures, manuals, and other educational content to the Service.

You retain ownership of content that you upload to Contexx Learning. You grant us the limited rights necessary to store, process, display, and otherwise provide that content through the Service.

You are responsible for ensuring that you have the necessary rights and permissions to upload and use such content.

7. AI-Generated Learning Content

Contexx Learning may use artificial intelligence to assist with the creation, transformation, organization, or enrichment of learning materials, including courses, lessons, summaries, assessments, quizzes, narrations, and other educational content.

AI-generated content may contain errors, omissions, or inaccuracies. Organizations and users are responsible for reviewing and validating AI-generated learning materials before relying on them for training, education, compliance, safety, or other important purposes.

Contexx Learning does not guarantee that AI-generated content will always be accurate, complete, or suitable for a particular purpose.

8. Courses, Assignments, and Assessments

The Service may allow organizations to assign courses and other learning activities to individual users, departments, teams, or other groups.

The Service may also record learning activity such as course progress, completion, assessment results, quiz scores, and certificates.

Organizations are responsible for determining how such information is used within their own training and organizational processes.

9. Certificates

Contexx Learning may provide functionality for generating or issuing certificates based on completion of courses, assessments, or other learning requirements established by an organization.

Organizations are responsible for defining their own certification requirements and determining whether a certificate issued through the Service satisfies any applicable internal, professional, regulatory, or legal requirements.

10. Subscription and Payment

Certain features of Contexx Learning may require a paid subscription.

Subscription fees, billing periods, usage limits, and other applicable pricing terms will be presented during the subscription process or through the Service.

Unless otherwise stated, fees are due in accordance with the applicable billing terms. Failure to make required payments may result in suspension or termination of access to paid features.

11. Intellectual Property

Contexx Learning, including its software, interface, branding, design, technology, and underlying systems, is owned by or licensed to Contexx AI, Inc. and is protected by applicable intellectual property laws.

Subject to these Terms and any applicable subscription limitations, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for its intended purpose.

You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works of the Service without our prior written permission.

12. Service Availability

This includes, where permitted by law, losses resulting from reliance on AI-generated content, learning materials, assessments, analytics, or other information provided through the Service.

We may update these Terms from time to time to reflect changes to the Service, applicable laws, or our business practices.

Where appropriate, we may notify users of material changes through the Service, by email, or by other reasonable means. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any disputes arising under or in connection with these Terms will be resolved in the courts located in Delaware, United States, to the extent permitted by applicable law.

17. Use Case Promotion and Consent

With your consent, Contexx AI, Inc. may feature your use of Contexx Learning as a case study, testimonial, or promotional material on our website, social media, presentations, or other marketing materials.

We will not publicly use your organization's name, logo, branding, or identifying information for promotional purposes without the appropriate permission.

You may contact us if you wish to change or withdraw previously provided promotional consent.
